Memorandum of Understanding (MoU)

Purpose
This MoU establishes the intent of FuelUp and Partner to collaborate on fuel supply, storage, and distribution within the GCC and international markets. The aim is to create a mutually beneficial partnership that strengthens Dubai’s role as a global hub for fair trade and efficient energy logistics.

Areas of Collaboration
The parties intend to cooperate in the following areas:

  • Access to fuel storage depots and distribution infrastructure.
  • Streamlined supply chain processes for EN590, LPG, LNG, and other petroleum products.
  • Joint compliance with UAE regulatory standards and international trade obligations.
  • Sharing of relevant operational data (within agreed limits) to improve efficiency and transparency.
  • Exploring future commercial opportunities, including expansion into retail and bulk fuel markets.

Roles & Responsibilities

  • FuelUp: Provide technology-driven last-mile delivery, customer interface (app & platform), fleet operations, and marketing.
  • Partner: Provide depot access, product supply (CIF/FOB as agreed), regulatory licensing support, and logistical cooperation.

Confidentiality
Both parties agree to keep all non-public information shared under this MoU strictly confidential and to use it only for the purposes outlined herein.

Non-Binding Nature
This MoU is not legally binding. It serves as a statement of intent and goodwill between the parties. Any legally binding obligations will be set out in future definitive agreements.

Term & Termination
This MoU shall remain in effect for twelve (12) months from the date of signing unless extended by mutual consent. Either party may terminate with thirty (30) days’ written notice.
